Acceptable Use Policy

1. Disclaimer*

Instinct Software is to be used only for informational purposes to support diagnosing and treating veterinary conditions. Instinct Software does not provide medical, diagnostic, or treatment advice, and users should always exercise clinical judgment. Instinct Software is intended as a point-of-care reference, not an exhaustive reference source. Instinct Software does not contain information regarding all possible conditions, diagnostic methods, treatments, drug information, or drug interactions. Instinct is not responsible for any direct, indirect, or perceived damage, loss, or injury incurred from using or misusing Instinct Software. Product usage beyond the average use by relevant customers in the market (e.g., downloads, logins, content shares, etc.) may be applied to individual and/or corporate accounts.

​2. Copyright

All content and digital assets, including drug content, diagnostic and treatment information, and pet owner educational materials, are the sole and exclusive property of Instinct. By having an account, users understand and agree that they do not acquire ownership of licensed materials, they cannot create derivative works or use the licensed materials for any business or commercial purpose or for any type of public use or presentation not expressly permitted by Instinct, and that all usage is governed by the Software Subscription Terms, Software Service Agreement, Privacy Policy, and/or this Acceptable Use Policy, as applicable. Instinct owns all materials on the websites and mobile applications, including text and graphics. All trademarks are owned by Instinct. You may not post content or take any action on Instinct Software that infringes or violates someone else's rights or otherwise violates the law, including the rights of any healthcare provider. Instinct can remove any content or information you post on Instinct Software if we believe, at our discretion, that it violates this Acceptable Use policy or the law.

3. Usage Requirements 

Access. Access to Instinct Software and Content is granted only to Authorized Users covered under the Subscription Terms. Content may not be shared and/or redistributed outside of the parameters of the Subscription Terms and, if applicable, the order form. Furthermore, Content may only be used as expressly permitted within the Subscription Terms, and, if applicable, the order form.

 

All permitted use is subject to the terms set out in the Subscription Terms and, if applicable, the order form.

 

Credentials. Authorized Users, consisting of veterinary medical and pharmaceutical professionals, must access all content using their unique login credentials, unless specified otherwise in the order form, if applicable. Authorized Users must keep their passwords confidential and secure and shall not share logins and password details.

 

Pet Owner Handouts. The Pet Owner Handouts, written in non-medical language, are provided for the sole purpose of informing a Subscriber’s pet-owner clients (hereinafter “Pet Owner Client”) about prescribed pharmaceutical treatments, clinical conditions, procedures, and preventive care recommendations. Instinct encourages distribution of Pet Owner Handouts via print or email to an Authorized User’s Pet Owner Clients, contingent upon prescription of a pharmaceutical product or discussion of a clinical topic, on a one per Pet Owner Client basis. However, Pet Owner Handouts may not be downloaded and distributed to any external platform or distributed to anyone unless such distribution is expressly permitted in writing by Instinct. Pet Owner Handouts must be downloaded at the time of distribution or use to ensure the most recent version of the content is being distributed. All Pet Owner Handouts must be deleted after use.

 

Deletion of Materials. Upon cancellation of a subscription and/or authorized access, all printed materials must be destroyed, and downloaded materials must be deleted from any device.

4. Prohibited Use

The following actions are expressly prohibited and could result in temporary or permanent suspension of access to the Software or Content, including termination of a Customer’s subscription:

 

  • The use of any robot, spider or other automatic device, process or means to access the Software or Content, or to scrape or mine the Software or Content.

  • Engaging in “screen scraping,” “database scraping,” or harvesting of any information or data (including e-mail addresses, IP addresses, or other personal information).

  • Using any Content in connection with any artificial intelligence, including any machine learning or neural network models; for clarity, you are prohibited from using any data contained in the Software and Content to train any type of artificial intelligence model.

  • Downloading and redistributing the Software or Content to third-party systems, platforms, or parties.

  • Creating any derivative products using the Software or Content.

  • Using the Software or Content in any way as part of a business or commercial endeavor or in any manner that is adverse to Instinct’s business interests or its Intellectual Property Rights, all of which will be determined by Instinct in its sole discretion.

  • Posting defamatory, indecent, offensive, profane, discriminatory, misleading, unlawful or threatening communications; personal attacks, name-calling, trolling, and abuse; or spamming, posting promotional material, or posting links to third-party websites.

5. Violations of Acceptable Use Policy

A violation of this Acceptable Use Policy constitutes a material breach of the Subscription Terms and can result in termination of access to any Software and Content.
