1. Consent to collection and processing in the United States
By using Instinct Software, you consent to having your personal data transferred to, processed, and stored in the United States. The Instinct Software websites and application platforms are hosted in the United States and are intended for and directed to Users in the United States. If you are a User accessing Instinct Software from the European Union, Asia, or any other region with laws or regulations governing personal data collection, use, and disclosure, that differ from United States laws, please be advised that through your continued use of the Instinct Software which is governed by U.S. law, our Privacy Terms of Use, and our Terms of Use, you are transferring your personal information to the United States and you consent to that transfer.

2. Information you provide about yourself
Private information. When you “sign up” or create an account with Instinct, you provide us, at a minimum, with your first and last names, email address, practice or organization information and a password. The purpose of this information is to provide access to your account. We will keep this information private, except as otherwise provided in this Privacy Policy.
Other information. When you “sign up” or create an account with Instinct, you may also provide us with additional personally identifiable information through notes you leave. We also will keep this information private, except as provided in these Terms of Use.
3. Information we collect
Site activity information. We track most of your actions on Instinct Software. Additionally, certain anonymous information may be passively collected (that is, gathered without your actively providing the information) using various technologies, including cookies. Please see how we use this data below for additional information about why we collect this data.
Access device and browser information. When you access Instinct Software from a computer, mobile phone, or other device, we may collect information from that device about your browser type, location, and IP address, as well as the pages you visit.
Web token information. We may use web tokens and "cookies" (small pieces of code or data we transmit to or store for an extended period of time on your browser, computer, mobile phone, or other device) to make Instinct Software easier to use, improve our communications, and protect both you and Instinct. You can remove or block web tokens and cookies using your browser settings, but in some cases, that may impact your ability to use Instinct Software. When you visit or log in to our website, cookies and similar technologies may be used by our online data partners or vendors to associate these activities with other personal information they or others have about you, including by association with your email or home address. We (or service providers on our behalf) may send communications and marketing to these email or home addresses. You may opt out of receiving this advertising by visiting https://app.retention.com/optout.
4. How we share and use your information
To generate market research. We do not sell or share your personally identifying information. However, we may use information that is not personally identifying (so long as it has been disconnected from your unique personally identifiable information) without limitations or restrictions, for any purpose, even after you delete your account. These purposes may include, among others, producing market research reports or providing dashboard database access for third-party market research.
To offer joint services. We may provide services jointly with other companies. We may share your information to facilitate that service. However, we will identify the partner and present the joint service provider’s privacy policy before you use that service.
To work with our service providers. We may share your information with service providers working with us in connection with the operation of Instinct Software or our services or software. These service providers may have access to your private and public personally identifying information only to perform services on our behalf and will be obligated not to disclose it or use it for any other purposes.
To manage or promote the service. We use information we collect (including the information you provide, such as personally identifiable information, information provided publicly and passively collected anonymous information) to provide the services and features of Instinct Software to you and to administer Instinct Software. This includes analyzing, measuring, improving, marketing, promoting, and customizing Instinct Software, as well as preventing potentially illegal activities, detecting and addressing anomalous activity and screen content to prevent abuse, and enforcing our Terms of Use (using various technological systems). We may also use this information to promote Instinct Software and our business development. Under no circumstance will your personally identifying information be disclosed by Instinct for any of these purposes.
To contact you. We may contact you with service-related announcements, marketing communications, promotions and other information. We may include personally identifiable information and content you see on Instinct Software in the communications we send to you.
To respond to legal requests and prevent harm. We may disclose information pursuant to subpoenas, court orders, or other requests (including criminal and civil matters) if we have a good faith belief that the response is required by law. We may also share information when we have a good faith belief it is necessary to prevent fraud or other illegal activity, to prevent imminent bodily harm, or to protect ourselves and you from people violating our Terms of Use. This may include sharing information with other companies, lawyers, courts, or government entities.
Other requirements. We may use information about you for any other purpose that we determine in our reasonable discretion is necessary or appropriate in connection with the operation of Instinct Software, including maintaining, terminating or transferring accounts, enabling or restricting access to accounts or ensuring compliance with our policies or applicable legal requirements. We will share your information with third parties when you permit the sharing, when it is reasonably necessary in connection with the operation of Instinct Software, or when legally required. We may utilize information that does not personally identify you to personalize Instinct Software for our users. We do not sell or share your personally identifying information with advertisers. We do not share personal information with third parties for their direct marketing purposes without your consent.
Text Messaging Opt-In Data. We will not share or sell your text messaging opt-in data, consent, or related personal information with any third parties without your consent, unless required by law.
5. Transfer in the event of sale or change of control
If the ownership of all or substantially all of our business or Instinct Software changes, we may transfer your information to the new owner so that the service can continue to operate. In such a case, your information would remain subject to this privacy policy or a privacy policy that, at a minimum, protects your privacy to an equal degree as this policy.
6. Rights to content
The content of any information that does not personally identify you, such as any suggestions or ideas you provide to us, becomes our property for any use we may determine, without any notice or compensation to the author.
7. How you can change or remove information
Editing and deactivating your profile. You may change or remove your profile information anytime by providing us written notice. You may deactivate or delete your account if you want to stop using it. When you deactivate an account, it will not be deleted. We save your profile information in case you decide to reactivate your account. When you delete an account, it is permanently deleted from Instinct Software and may never be reactivated. Deleting your account means we delete all personally identifying information, but we do NOT delete information that is not personally identifying. By using Instinct Software, you agree that we may keep this information as long as necessary to comply with legal requirements.
Removal. Even after you remove information from your profile or delete your account, copies of that information may remain viewable on Instinct Software and elsewhere to the extent it has been shared publicly or with others. Additionally, we may retain certain information to prevent identity theft and other misconduct even if deletion has been requested. We may retain backup copies of removed and deleted information and use such information for the purposes described in this Privacy Policy.
8. How We Protect Your Data
Steps We Take to Keep Your Data Secure. We utilize third-party security infrastructure (website/application hosting, database management, and cloud servers) consistent with commercially reasonable practices in the United States. We have implemented technical and organizational measures that we believe will ensure a level of data security appropriate to the risk and severity of disclosure, taking into account the state of the art in the United States, the costs of implementation and the stage of our company, and the nature, scope, context and purpose of our obtaining and using your information. We provide access security solely by providing access to and using Instinct Software through a combination of usernames and passwords. We also may use automated and social measures to enhance security, such as analyzing account behavior for fraudulent or otherwise anomalous behavior, may limit use of site features in response to possible signs of abuse, may remove inappropriate content or links to illegal content, and may suspend or disable accounts for violations of our Terms of Use.
Risks inherent with sharing data. Please be aware that no security measures are perfect or impenetrable. We cannot guarantee that only authorized persons will view your information. We cannot ensure that information you share on Instinct Software, including personally identifiable information, will not become publicly available. We are not responsible for third-party circumvention of any privacy settings or security measures we use or have implemented on Instinct Software. You can reduce these risks by using common sense security practices such as choosing a strong password, using different passwords for different services, and using up-to-date antivirus software.
9. Links to other sites
These terms of use do not apply to websites linked to/from or using Instinct Software or entities or applications that Instinct does not own or control. Instinct is not affiliated with and does not endorse content, items or services of those websites or third-parties. When you click on links on Instinct Software, you may leave our site. Instinct is not responsible for the privacy practices of other sites, and we encourage you to read their privacy statements. Instinct has no responsibility or liability for the availability of such external websites, or for the privacy, use, storage or transfer of your information or the content, advertising, products, or other materials shared by you or available through such websites.
